Terms and Conditions

These Terms of Service ("Terms" or "Agreement") are between you and Shagriha LLC ("Shagriha," "we," "us," or "our"). They govern your access to and use of www.shagriha.com, its website features, and any applications or related services we make available (collectively, the "Services").

Please read these Terms carefully. When the account-creation screen presents these Terms and states that creating an account constitutes acceptance, selecting “Create Account,” “Continue,” or a comparable account-creation control means that you accept this Agreement. This applies whether you register directly or through Google or another offered sign-in provider. If you do not agree, do not create an account or use Services that require acceptance.

Our Privacy Policy explains how we handle personal information. Acknowledging that policy or accepting these Terms does not enroll you in marketing communications.

1. About Shagriha

Shagriha is a technology platform connecting residential property owners and authorized property managers directly with prospective tenants. Available features include property listings, search and map tools, saved properties, rental applications, listing-management tools, and storage and download of externally prepared lease documents.

The Services are intended for residential rental listings across the United States. Messaging, subscription billing through Stripe, owner-verification checks, paid plans and other features may be introduced later. References to future features are not promises that those features are available or will be released.

2. No Brokerage or Agency Relationship

Shagriha does not provide real-estate brokerage services through the Services. We do not act as a broker, leasing agent, property manager or representative of a listing user or tenant. We do not negotiate rental agreements, select tenants on another user's behalf, or provide legal, financial, tax, insurance or real-estate advice.

We do not own or manage properties merely because they appear on Shagriha. We are not a party to users' leases and do not guarantee rent, property availability, user eligibility or performance of any agreement between users.

Listing users are responsible for their properties, lawful rental decisions and dealings with applicants and tenants. Tenants are responsible for evaluating properties, listing users and rental terms. Creating an account, submitting or approving an application, or uploading a document does not itself create a lease or make Shagriha a party to one.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into this Agreement. If a higher contractual age applies to you, you must meet that requirement. By creating an account, submitting an application or creating a listing, you represent that you satisfy these requirements. Shagriha does not collect your date of birth or independently verify your age.

You represent that the information you provide is accurate and that you will use the Services lawfully. If you act for a business or another person, you represent that you have authority to do so and to accept these Terms on their behalf.

4. User Roles and Listing Authority

Tenants may browse properties and use available application and document-download features. Owners and authorized property managers may create listings, receive applications and manage their listings.

In these Terms, "listing creator" means the account holder who creates the relevant listing. A role label does not establish ownership, professional licensing or authority to rent a property. Listing creators must actually have the necessary rights and authorization.

An account may support more than one role where available. Having an owner or manager role does not authorize access to another listing creator's private applications or documents.

5. Guest Access

Some browsing and search features may be available without an account. We may require an account for features such as saving properties, creating listings, submitting applications and accessing private dashboards or lease documents. Availability of guest access may change.

6. User Accounts

Provide accurate registration information and keep it current. Protect your login credentials and do not knowingly give another person unauthorized access to your account. You are responsible for activity you authorize through your account.

If you suspect account compromise or unauthorized access, promptly email support@shagriha.com. We may take protective measures and request information reasonably necessary to confirm account ownership. An account-security check is not verification of a person's identity, rental eligibility or property ownership for other users.

7. Google and Other Third-Party Authentication

Where offered, you may register or sign in through Google or another displayed authentication provider. The provider may share information with us according to the permissions you grant and its own terms and privacy policy. Our handling of that information is explained in our Privacy Policy.

Third-party sign-in does not bypass acceptance of these Terms for new accounts. We do not control the authentication provider's independent services.

8. Property Listings

Listings may offer private rooms or entire homes or apartments. You are responsible for ensuring that you have the legal right and any required permissions to advertise and offer the listed property or room for rent. You are also responsible for the accuracy and legality of your listing, including photographs, description, address, availability, rent, required charges, amenities, restrictions and rental terms. Your listing and rental arrangement must comply with applicable law and enforceable contractual restrictions. Shagriha does not independently verify your authority or review agreements between you and a property owner, landlord or other person.

Listing creators are responsible for compliance with applicable zoning, occupancy limits, rental registration and permit requirements, and binding homeowners' association or condominium restrictions. If offering a room within a larger dwelling, you must have authority to rent that room separately. Shagriha does not independently verify these permissions or compliance.

Keep material information current and correct errors promptly. Do not misrepresent a property's condition, price, availability, ownership or your authority. Disclose required charges and material rental conditions accurately and as required by law. Do not publish confidential applicant information or private lease documents as listing content.

9. Draft and Published Listings; Listing Fees

Where supported, you may save a listing as a draft before publication. Draft listings are not intended for public search display. Published listings may appear in search results, maps and property-detail pages, subject to technical and content requirements.

Listing on Shagriha is currently free. This is not a promise that listing or other Services will always be free. We plan to introduce paid plans, but their availability, prices and benefits are not established by these Terms.

Before launching paid plans, we will announce the change and disclose the applicable price, effective date, benefits, billing frequency, renewal, cancellation and refund terms, and treatment of existing listings. An announcement alone does not authorize a charge. We will obtain your authorization before charging you for a paid service.

10. Property Search

Search tools may use location, price, property characteristics and other filters. Results may include nearby properties rather than an exact match. Results are not guaranteed to be complete, current, error-free or suitable for your needs. A property's appearance or ranking is not an endorsement or verification by Shagriha.

11. Maps and Location Information

Maps, address suggestions, coordinates and other geographic information may be supplied by third parties. Locations, distances and nearby points of interest may be approximate, inaccurate or outdated. Independently confirm the address and other location information important to your decision.

12. Applications, Contact Sharing and Approval

When you apply to a listing, the name, email address, phone number, desired start date and any optional message you submit are shared with the account that created that listing. Through the listing-management feature, this applicant information is not made available to unrelated listing creators merely because they have an owner or manager role. Limited operational access by Shagriha and its service providers is addressed in our Privacy Policy.

After you apply, Shagriha makes the listing creator's name and email address available to you in connection with the application. We do not disclose the listing creator's phone number through this application-sharing feature.

Recipients may use this information only to evaluate, respond to and manage the relevant rental application and related tenancy. They must not sell it, publicly post it, use it for unrelated marketing or disclose it unnecessarily. Any necessary disclosure to an authorized service provider must be limited to that purpose and appropriately protected. Disclosures required by law remain permitted.

Submitting an application does not guarantee availability, review, approval, a lease or a completed rental transaction. Listing creators make their own lawful rental decisions; Shagriha does not verify application information or select tenants for them.

An "Approved" or equivalent application status means only that the listing creator has accepted the application. It does not by itself mean that a lease has been signed, the tenant has been verified, or either user owes a payment. Separate agreements and applicable law determine rental obligations.

13. Fair Housing and Non-Discrimination

Users must comply with applicable federal, state and local fair-housing and anti-discrimination laws. You must not use listings, rental requirements, screening, communications or application decisions to unlawfully discriminate on a protected basis.

Listing creators are responsible for the legality of their rental practices. Report suspected discrimination to support@shagriha.com. We may restrict content or accounts as described in these Terms.

Listing creators must make tenant-selection criteria, grounds for denial, acknowledgments and other applicant notices available when and in the manner required by law. Shagriha does not currently provide a dedicated field for publishing tenant-selection criteria and does not create, review or verify a listing creator's criteria. Listing creators remain responsible for supplying required notices directly and applying their criteria lawfully and consistently.

14. Future Messaging

In-platform messaging is a planned feature and is not currently offered. Current application-related communications may take place through the contact information shared as described in Section 12.

If messaging is introduced, users must not use it for fraud, impersonation, harassment, threats, spam, malware or unlawful requests. Messages will not be public listing content. Before launch, we will explain relevant processing, access and privacy practices and provide any additional applicable terms. This section does not authorize unrelated marketing.

15. User Content and Limited Permission to Operate the Services

"User Content" includes listings, descriptions, photographs, application messages, profile information and documents that users submit. You retain the rights you hold in that content and represent that you have the rights needed to submit it and permit the uses described here.

You grant Shagriha a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display and technically format your User Content only as reasonably necessary to provide the Services you use, display or share it as intended, maintain and secure the Services, address reports, and comply with law. We may permit service providers acting for us to perform those functions subject to appropriate restrictions.

Public listing content may be displayed publicly. Private applications and lease documents are not licensed for public display, unrelated advertising or training general-purpose AI models under this clause. Technical formatting does not authorize misleading substantive changes to your listing.

This license does not transfer ownership or independently authorize indefinite retention. Personal information and deletion requests are governed by the Privacy Policy and applicable law. After content is removed, any remaining use must be limited to permitted operational, legal, security or backup purposes.

16. Photographs and Intellectual Property Rights

Upload only material you own or have a legal right to use and share. Obtain required permissions for photographs, floor plans, documents and other protected material. Do not upload another person's confidential information without authority. We may restrict or remove content that reasonably appears to infringe rights.

17. Prohibited Conduct

You must not:

• Create fraudulent listings or applications, impersonate another person, or misrepresent rental prices, availability or listing authority.
• Harass, threaten, unlawfully discriminate, send spam or misuse another person's information.
• Access another account, application or document without authorization, or evade access controls or enforcement restrictions.
• Upload malware, attack or overload the Services, or interfere with their operation.
• Scrape or systematically extract data without authorization, except where applicable law permits it, or use automated tools to disrupt the Services.
• Infringe intellectual-property, privacy or other rights, or use the Services for unlawful purposes.
• Reverse engineer protected portions of the Services except to the extent applicable law permits it.

We may review suspected violations and take proportionate action under these Terms.

18. Listing Removal and Application Visibility

We may hide, restrict or remove listings or content that we reasonably believe are unlawful, fraudulent, materially misleading, unauthorized, abusive, infringing, insecure or otherwise in violation of these Terms.

When a listing is removed, related application records currently remain available in the applicable listing creator's and applicant's private account histories. An associated tenant may also continue to download a lease previously made available to that tenant. These records are not displayed as applicant information or private lease documents on a public listing. Removing a listing does not itself delete those records, revoke copies already lawfully received, or terminate an existing rental agreement.

Listing visibility and data deletion are separate. Privacy and deletion requests should be sent to support@shagriha.com and are handled subject to applicable law and our Privacy Policy. No fixed retention period or automatic deletion upon listing removal is promised by these Terms.

19. Saved Properties

Saving or favoriting a property does not reserve it or guarantee its price, availability or continued listing. Listings may be updated, rented or removed.

20. Lease Document Storage and Access

Shagriha provides storage and access tools for externally prepared lease documents. Only the account that created the relevant listing may upload a lease. The listing creator must have authority to share the document and associate it with the correct tenant and tenancy.

The associated tenant may download the lease after the listing creator uploads it to the portal. Tenants cannot upload lease documents. An upload does not give every applicant or other user access. Lease documents are private, subject to limited authorized operational access as described in our Privacy Policy.

This functionality does not prepare, legally review, authenticate, electronically sign or renew a lease. Uploading or downloading a document, or approving an application, does not by itself execute a lease or create a payment obligation. Shagriha is not a party to the lease. Users are responsible for their agreements and should retain their own copies of important documents.

21. Rental Payments and Future Subscription Billing

Shagriha does not currently collect, hold, process or transfer rent, security deposits, application payments or other rental funds between users. We do not currently provide escrow or payment-protection services.

We plan to use Stripe solely to collect fees for Shagriha subscriptions. This planned integration does not include collecting or transferring rent, deposits, application payments or other funds between users. Before subscription billing launches, we will disclose applicable prices, billing frequency, renewal, cancellation, refund and dispute procedures, and payment-provider terms, and obtain payment authorization. These Terms do not authorize future charges or represent that subscription billing is currently available.

22. Refunds and Payment Disputes

For any future paid Shagriha service, applicable refund and cancellation terms will be disclosed before purchase, subject to mandatory legal rights. These Terms do not establish a blanket non-refundable policy.

Money paid directly to another user outside Shagriha is not a fee received by Shagriha. Disputes over those funds ordinarily concern the parties to that payment and the relevant payment provider. Sections 33 and 34 do not eliminate any responsibility Shagriha has under applicable law.

23. United States Rental Listings

Shagriha serves residential rental listings across the United States. Rental requirements vary by location. Listing creators remain responsible for identifying and complying with applicable requirements for the particular property and rental arrangement.

The Texas governing-law and court provisions for disputes with Shagriha do not displace mandatory housing laws applicable to properties or rental agreements in other jurisdictions.

24. User Information, Listings and Verification

Shagriha does not currently independently verify tenants, listing creators or properties. We do not verify identity, property ownership, authority to rent, licensing, property condition, availability, financial information, background, creditworthiness or rental history, and we do not screen tenants or confirm the accuracy of their applications.

An account, listing, application status or document on Shagriha is not verification, approval or endorsement. Email confirmation, authentication and account-security measures do not establish a person's identity or authority to offer a property.

Users must provide truthful information and independently evaluate information important to their rental decisions. Before signing an agreement, sharing sensitive information or sending money, take appropriate steps to confirm the other party's identity, authority and the property details.

We may introduce limited owner-verification checks in the future, potentially involving address evidence and government-issued identification. If introduced, we will explain what a particular check covers, relevant privacy practices and the meaning of any verification indicator. A limited identity check would not automatically establish property ownership, safety, availability or trustworthiness, or guarantee against fraud.

Nothing in this section excludes rights, duties or liability that cannot lawfully be excluded.

25. Third-Party Services

The Services may depend on third-party authentication, mapping, hosting, storage, email delivery or other technical services. Independently provided third-party services may have their own terms and privacy policies. A third-party link or integration is not necessarily an endorsement.

We do not control third parties' independent acts. This does not exclude Shagriha's own obligations regarding its Services, service providers or personal information under applicable law.

26. Service Communications and Marketing

Shagriha may send emails necessary to operate your account and provide the services you use, including account-security notices, application updates, responses to support requests and important changes affecting your account or these Terms.

Shagriha does not currently send promotional emails, marketing text messages or marketing calls. Accepting these Terms or providing contact information for an application does not enroll you in promotional communications.

If Shagriha introduces promotional communications in the future, we will explain the available choices and obtain any consent required by applicable law. Any request for marketing consent will be separate from acceptance of these Terms. Marketing communications will include applicable unsubscribe or opt-out methods. Opting out of marketing will not prevent necessary, non-promotional service communications.

Users who receive another user's contact information through Shagriha may use it only for the relevant application and related rental communications. They must not sell that information or use it for unrelated marketing.

27. Ownership of Shagriha

Except for User Content and third-party materials, Shagriha and its licensors own the rights in the Services, including software, design, branding, graphics and documentation. These Terms do not transfer those rights to you.

28. Permission to Use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable permission to use the Services for their intended personal or authorized property-listing and management purposes. This permission may be suspended or terminated under Section 30.

You may not sell, sublicense or commercially exploit our software or proprietary materials beyond that permitted use without authorization, except as permitted by law.

29. Future Mobile Applications

If we introduce a mobile application, applicable app-store terms and any additional terms presented for that application may apply. References to an application do not represent that one is currently available.

30. Suspension and Termination

We may restrict, suspend or terminate access where reasonably appropriate to address violations, fraud, unlawful conduct, infringement, safety or security risks, or legal requirements. We may act promptly when the circumstances require it and will provide notice where required by law. You may contact support@shagriha.com to provide relevant information or request reconsideration.

You may stop using the Services at any time and contact support@shagriha.com about account closure or deletion requests. Ending access does not itself delete all records, cancel a lease between users or discharge existing lawful obligations. Handling of personal information remains subject to our Privacy Policy and applicable law.

Provisions that by their nature should continue after termination—including accrued obligations, ownership, lawful limitations of liability and dispute provisions—continue to the extent applicable.

31. Service Availability

The Services may experience maintenance, outages, errors, interruptions, delays or data-synchronization problems. We do not guarantee uninterrupted or error-free operation. Keep your own copies of important agreements and records. Nothing here excuses obligations that applicable law does not allow us to exclude.

32. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not guarantee the accuracy or completeness of listings, search results, maps or user information; availability or condition of a property; another user's identity or performance; approval or review of an application; or completion of a rental transaction.

These disclaimers do not override express commitments in these Terms, exclude Shagriha's own fraud or willful misconduct, or exclude warranties, rights or protections that cannot lawfully be excluded.

33. Interactions Between Users; Fraud and Direct Payments

Users are responsible for their own communications, property visits, rental decisions and agreements. Exercise reasonable care before meeting another user, providing sensitive information, signing a lease or transferring funds.

To the extent permitted by applicable law, Shagriha is not responsible for another user's fraudulent listing, impersonation, misrepresentation, unauthorized property offer, failure to perform an agreement, or misuse of money that you send directly to that user. This includes deposits, application payments, rent, wire transfers and other payments made outside Shagriha.

Shagriha currently processes none of those user-to-user payments, does not hold them in escrow, and does not guarantee reimbursement, recovery or payment protection. A listing, account, application approval or uploaded lease is not a recommendation to send money or a guarantee that the recipient is legitimate.

Report suspected fraud to support@shagriha.com. If you have sent money, promptly contact your bank or payment provider. Reporting does not guarantee recovery or a particular outcome.

This section does not exclude liability for Shagriha's own fraud or willful misconduct, or any duty or liability that cannot lawfully be excluded. Future Shagriha subscription billing is separate from payments between users; these disclaimers about user-to-user payments do not excuse Shagriha's obligations for its own subscription charges or refunds.

34. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHAGRIHA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR CONSEQUENTIAL LOSS OF PROFITS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

TO THE SAME EXTENT, THEIR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE TOTAL SHAGRIHA PLATFORM OR SERVICE FEES YOU PAID TO SHAGRIHA DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Rent, deposits, application payments and other funds paid to another user are not Shagriha platform or service fees for this calculation. The cap is aggregate, not a separate amount for each claim or defendant, and applies regardless of the legal theory asserted, to the extent permitted by law.

Neither the cap nor the exclusions apply to Shagriha's own fraud or willful misconduct, liability that applicable law prohibits us from limiting, or refunds or other amounts that Shagriha is otherwise required to pay you under an applicable agreement or law. Nothing in these Terms waives nonwaivable consumer rights. Where a limitation is not permitted, it applies only to the extent lawfully allowed.

35. Indemnification

To the extent permitted by law, you agree to indemnify Shagriha and its officers, employees and agents against third-party claims, damages and reasonable costs, including reasonable legal fees, to the extent caused by your unlawful use of the Services, material violation of these Terms, unauthorized listing, or User Content that infringes another person's rights.

This obligation does not cover losses to the extent caused by Shagriha's own negligence, fraud, willful misconduct or violation of law. We will provide reasonably prompt notice of a claim for which we seek indemnification and reasonable cooperation. No settlement may impose an admission or non-monetary obligation on you without your consent. This section does not apply where prohibited by law.

36. Privacy

Our Privacy Policy explains our collection, use, sharing and handling of personal information. Please read it alongside these Terms, particularly before submitting an application or uploading a lease.

Send privacy questions and requests to support@shagriha.com with the subject "Privacy Request." These Terms do not waive your applicable privacy rights or establish a fixed retention period.

37. Reporting Fraud, Abuse and Other Complaints

You may report suspected fraudulent listings, scams, discrimination, misuse of personal information, unauthorized content or other violations of these Terms by contacting support@shagriha.com. Please include the relevant listing link and a description of your concern. Do not send passwords, payment-card details or government identification documents with your initial report.

Reports are handled by authorized Shagriha employees. We may request additional information and, depending on the circumstances, restrict access to a listing, remove content, suspend or terminate an account, or take other appropriate action consistent with these Terms and applicable law.

Reviewing a report does not constitute verification or endorsement of any user or listing. We cannot guarantee that every fraudulent activity will be detected, that a report will result in a particular outcome, or that money transferred between users will be recovered. Nothing in this section limits rights or obligations that cannot lawfully be excluded.

Shagriha is not an emergency service. If you face an immediate threat, contact the appropriate emergency services. If you suspect a fraudulent payment, promptly contact your bank or payment provider.

For a copyright complaint, use the subject "Copyright Complaint" and identify the work, the allegedly infringing material and its location, your authority to report it, and sufficient information for us to respond. We may request further information and take action consistent with applicable law. This general reporting channel does not replace any legally required notice procedure.

38. Changes to the Services

We may introduce, modify or discontinue features, subject to applicable law and any specific commitments for a paid service. A roadmap, demonstration or reference to a future feature does not guarantee release. We will provide additional terms, disclosures or consent requests when required for a new feature.

39. Changes to These Terms

We may revise these Terms and will update the date shown above. For material changes, we will provide reasonable notice through the Services or by email, as appropriate and as required by law, explaining when the changes take effect. We will obtain affirmative acceptance where required.

Changes will not be treated as accepted before notice or backdated to earlier account activity. Continued use after the stated effective date constitutes acceptance only where the notice and applicable law permit that method. If you do not agree to revised Terms, stop using the affected Services; existing legal rights and obligations remain subject to applicable law.

40. Governing Law

These Terms and disputes between you and Shagriha concerning the Services are governed by Texas law and applicable federal law, without applying conflict-of-law rules that would displace that choice, except where applicable law requires otherwise. This choice does not deprive you of mandatory protections that cannot lawfully be waived.

41. Courts and Venue; No Mandatory Arbitration

Except where applicable law requires or gives you a nonwaivable right to another forum, disputes between you and Shagriha arising out of or relating to these Terms or the Services must be brought in the state courts of competent jurisdiction located in Denton County, Texas, or, where federal subject-matter jurisdiction exists, in the United States District Court for the Eastern District of Texas, Sherman Division. You and Shagriha consent to personal jurisdiction in those courts for such disputes, subject to applicable law.

These Terms do not require arbitration and do not impose a jury-trial or class-action waiver. Nothing prevents you from reporting a matter to a regulator or using a forum that applicable law requires or protects.

This section governs disputes with Shagriha. It does not determine the court or governing law for a separate landlord–tenant dispute between users, which is subject to its own agreement and applicable law.

42. Severability

If a provision is held invalid or unenforceable, it will be limited or severed to the extent permitted by law, and the remaining provisions will continue in effect to the extent legally permitted.

43. No Waiver

A delay or failure to enforce a provision is not a waiver of the right to enforce it later. A waiver of one breach is not a waiver of another.

44. Assignment

You may not transfer this Agreement without our prior written consent, except where applicable law permits it. Shagriha may transfer this Agreement in connection with a merger, acquisition, restructuring or transfer of the relevant business, subject to applicable law and required notice. A transfer does not itself authorize materially different uses of personal information.

45. Entire Agreement

These Terms and any additional service-specific terms you accept constitute the agreement between you and Shagriha concerning the Services and supersede prior agreements on the same subject. Our Privacy Policy separately describes our personal-information practices and applicable privacy rights. Additional terms govern their specific feature to the extent they expressly address a conflict, subject to applicable law.

Nothing here changes a separate lease between users or excludes nonwaivable rights or liability for fraud.

47. Version and Acceptance

The version date appears at the beginning of these Terms. You may retain a copy for your records. Acceptance of a revised version is handled as described in Section 39; the date on this document does not by itself establish when a particular user accepted it.
